Welcome to Restock Ops AI. These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and 10x With Me Inc. ("we," "our," "us," or "Company"), operating as Restock Ops AI, regarding your use of our inventory management SaaS platform and related services (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including merchants who connect their Shopify or WooCommerce stores.
1. Acceptance of Terms
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference into these Terms.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" will refer to both you and the organization.
2. Description of Service
Restock Ops AI is an AI-powered inventory management and analytics SaaS platform that helps businesses:
- Manage inventory across multiple e-commerce stores (Shopify, WooCommerce)
- Track sales performance and calculate sales velocity
- Receive AI-powered restocking recommendations and demand forecasting
- Generate and manage purchase orders
- Manage supplier relationships and lead times
- Receive proactive stock alerts and insights
- Generate analytics reports and business intelligence
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
3. Account Registration and Security
3.1 Account Creation
To use the Service, you must:
- Be at least 18 years old
- Provide accurate, current, and complete information during registration
- Maintain and update your account information to keep it accurate
- Maintain the security of your account credentials
- Accept these Terms and our Privacy Policy
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account password and credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
- Using strong, unique passwords and enabling two-factor authentication if available
We are not liable for any loss or damage arising from your failure to maintain account security.
4. Subscription and Billing
4.1 Subscription Plans
We offer subscription plans with different features and usage limits:
- Starter Plan - $49/month (or annual equivalent with discount)
- Growth Plan - $99/month (or annual equivalent with discount)
- Enterprise Plan - $199/month (or annual equivalent with discount)
Pricing is based on:
- Number of team member seats
- Number of AI messages per month
- Number of store connections
- Access to advanced features and support levels
Current pricing is available on our Pricing page. We reserve the right to modify pricing with 30 days' notice to existing customers.
4.2 Billing and Payment
By subscribing to the Service, you agree to:
- Pay all fees associated with your subscription plan
- Provide accurate billing information
- Authorize us to charge your payment method on a recurring basis (monthly or annually)
- Pay any applicable taxes
Billing occurs in advance on a monthly or annual basis. If payment fails, we may suspend or terminate your account.
4.3 Refund Policy
We offer a 30-day money-back guarantee for new subscriptions. If you are not satisfied with the Service within the first 30 days of your initial subscription, you may request a full refund by contacting us at support@restockopsai.com.
After the 30-day period, subscriptions are non-refundable except as required by law. Refunds for annual subscriptions will be prorated based on the remaining unused period.
4.4 Subscription Changes and Cancellation
You may:
- Upgrade or downgrade your plan at any time (changes take effect on your next billing cycle)
- Cancel your subscription at any time through your account settings
- Add additional seats to your plan for an additional fee
Cancellation takes effect at the end of your current billing period. You will continue to have access to the Service until the end of your paid period. No refunds are provided for partial billing periods.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Service to transmit any malicious code, viruses, or harmful data
- Attempt to gain unauthorized access to the Service or other users' accounts
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated systems (bots, scrapers) to access the Service without permission
- Interfere with or disrupt the Service or servers connected to the Service
- Use the Service to compete with us or build a competing service
- Share your account credentials with others or allow unauthorized access
- Use the Service in a way that could damage, disable, or impair our systems
- Collect or harvest information about other users without their consent
We reserve the right to suspend or terminate your account if you violate these acceptable use provisions.
6. Shopify and Third-Party Integrations
6.1 Shopify Store Connection
When you connect your Shopify store to Restock Ops AI:
- You authorize us to access your Shopify store data through Shopify's APIs
- You grant us the necessary permissions (scopes) to read products, orders, inventory, and locations
- You are responsible for maintaining your Shopify store and ensuring it complies with Shopify's terms
- You understand that we access your data only for the purpose of providing the Service
You can disconnect your Shopify store at any time through your account settings. Disconnecting will stop data synchronization but will not delete historical data already stored in our system.
Our support team may access your account data to provide support and troubleshoot issues on your behalf.
6.2 Third-Party Services
The Service may integrate with third-party services (e.g., WooCommerce, Xero, payment processors). Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for:
- The availability, accuracy, or reliability of third-party services
- Any loss or damage resulting from your use of third-party services
- The privacy practices or data handling of third-party services
7. Intellectual Property
7.1 Our Intellectual Property
The Service, including all software, algorithms, designs, text, graphics, logos, and other content, is owned by 10x With Me Inc. or our licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.
7.2 Your Content
You retain ownership of all data, content, and information you provide to the Service ("Your Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to:
- Use, store, and process Your Content to provide the Service
- Create aggregated, anonymized analytics and insights
- Back up and maintain Your Content
You represent and warrant that you have all necessary rights to grant this license and that Your Content does not violate any third-party rights.
8. Service Availability and Uptime
We strive to maintain 99.9% uptime for the Service. However:
- The Service may be temporarily unavailable due to maintenance, updates, or unforeseen circumstances
- We do not guarantee uninterrupted or error-free operation
- We are not liable for any downtime, data loss, or service interruptions
- Scheduled maintenance will be announced in advance when possible
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all warranties, including:
- Merchantability and fitness for a particular purpose
- Accuracy, completeness, or reliability of the Service
- Uninterrupted or error-free operation
- That the Service will meet your specific requirements
AI-powered recommendations and forecasts are estimates based on available data and algorithms. They should not be the sole basis for business decisions. You are responsible for verifying all recommendations and making your own business decisions.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL 10X WITH ME INC., ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from your use or inability to use the Service
- Damages resulting from third-party services or integrations
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless 10x With Me Inc., its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your Content or any data you provide to the Service
12. Termination
12.1 Termination by You
You may terminate your account at any time by canceling your subscription and deleting your account through your account settings. Upon termination, your access to the Service will end at the conclusion of your current billing period.
12.2 Termination by Us
We may suspend or terminate your account immediately if:
- You violate these Terms
- You fail to pay subscription fees
- You engage in fraudulent or illegal activity
- We are required to do so by law
- We discontinue the Service
12.3 Effect of Termination
Upon termination:
- Your right to use the Service will immediately cease
- We will delete or anonymize your data in accordance with our Privacy Policy (typically within 30 days)
- You may export your data before termination
- All outstanding fees remain due and payable
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Any disputes arising from or related to these Terms or the Service shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association, except where prohibited by law.
14. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on this page
- Updating the "Last Updated" date
- Sending you an email notification (for significant changes)
- Displaying a notice in the Service
Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.
